Raizen Energia creates JV with Grupo Gera for distributed renewable energy in Brazil

In Brazil, Raízen Energia has formed a joint venture with Grupo Gera whereby Raízen Energia will invest R$212 million for the acquisition of a stake in Gera Group companies, in addition to a capital contribution in the amount of R$106 million for new business development.

Gera Group operates in the energy sector and is present in 14 states, managing more than 15,000 consuming units of energy, investing in power production projects for large companies and managing energy and utilities for large domestic consumers. The
Agreement with Gera Group includes the following operations:

i. Distributed Generation power plants: currently with 15 plants in 4 States (São Paulo, Rio de Janeiro, Paraíba and Pernambuco) and installed generation capacity of 23 MW (127,000 MWh/year), using clean and renewable sources such as solar, hydro and biogas from recycling of organic waste;

ii. Development of distributed generation projects based on renewable energy;

iii. Solutions of technology related to the trade, management and consumption of electricity, and efficiency-focused development and innovation for consumers.

With this operation, Raízen will control the Distributed Generation and Development segments, while Gera will maintain the control of Solutions. The closing of this operation is subject to the accomplishment of certain conditions precedents set forth in the
Agreement, in addition to possible adjustments to the price which are customary in this type of transaction.

This operation complements Raízen’s Renewable products and services platform, reinforcing our leadership position in the transition and decarbonizing of the world’s energy matrix by expanding the offering of cleaner, renewable and sustainable energy.
